Job Description

The position is to provide middle office support and management of transactions originating from the Equity Capital Market (ECM) team. Working with existing TMG ECM staff, the candidate will have the responsibility to successful coordinate all relevant stakeholders within the bank through all ECM transactions and offerings around the globe but concentrated in Asia.  The candidate will also be required to document existing processes in current markets and also analyse and explore ECM execution capabilities in new markets.

Key Roles & Responsibilities

  • Candidate will assist with the successful coordination of all ECM transactions originated through the ECM team including:
  • Initial Public Offerings
  • Secondary Listings
  • Rights Issues
  • Private and Public Placements
  • Coordinating with other internal stakeholders including legal & operations on the status of trades
  • Completion of any required documents for syndicate and settlement purposes.
  • Compile and review trade documentation including Placing Letters, Form D, Letters of Independence, Investor representation letters, Form 240 etc.
  • Working with internal stakeholders to get the transaction approved (Risk, Credit, Legal, Compliance)
  • Comprehension of settlement mechanics and ensuring other stakeholders complete their tasks including Compliance, Finance, Legal, Operations
  • Providing senior management with updates on the status of trades
  • Working with external parties such as Central depositories, Stock exchanges and deal council to iron out settlement issues prior to settlement.
  • Co-ordinate with the support teams from other Banks who are also working on the deal.
  • Collation of local and stock exchange rules and regulations on IPO settlements in terms of application, reporting, timelines and cash/securities movement
  • Documenting procedures for new and existing markets.
  • Identify and investigate the restrictions and limitations imposed on foreign underwriters and investors in terms of foreign ownership of local securities, cross border movement of funds, loans and foreign exchange transactions
  • Arrange Funding facilities with Finance and Origination and Client Coverage
  • Liaise with internal ECM task force to agree on the booking requirements prior to commencement of a deal.
  • Assist where necessary with the invoicing of client fees and to help pay out fees when required.
  • Assist with other business activities when required which may include processing of securitised products

Qualifications & Skills

  • Excellent communication skills
  • ‘Can do’ attitude to getting work done
  • Team player who can also take on responsibility for transactions front to back
  • Solid banking experience in an ECM or related role
  • Excellent organisational skills
  • Proven ability to work under the pressure of tight timelines associated with ECM products
  • Extremely strong problem solving skills to create workarounds to ensure successful settlement.
  • Ability to think ahead and anticipate issues in advance so they can be mitigated.
  • A good understanding of banking operations, clearing systems, payments
